Service Agreement

TSWALENKI WEBSITE MANAGEMENT SYSTEM SERVICE AGREEMENT Date: 04 June 2026 Client: Client This agreement is entered into between Tswalenki ("the Service Provider") and Client ("the Client"). 1. GENERAL TERMS The Client agrees to use the Tswalenki WMS platform for managing website-related services. All requests submitted through the platform are subject to review and approval by the Service Provider. The Service Provider reserves the right to reject any request that does not comply with these terms. 2. PAYMENT TERMS All prices are inclusive of applicable taxes unless stated otherwise. For new website development, 60% of the total cost is payable upfront as a setup fee. The remaining 40% is due upon completion and before final handover of the website. Setup fees (upfront payments) are non-refundable once work has commenced. Support tickets and modifications are billed per request as per the current pricing schedule. 3. TURNAROUND TIMES Simple websites: 2-3 business days. Medium websites: 5-7 business days. Large websites and E-commerce: As quoted per project. Support tickets: Within 24-48 hours of approval. 4. POST-DELIVERY FREE MODIFICATION PERIOD After delivery of a completed website project and receipt of the final 40% payment, the Client is entitled to 10 calendar days of free minor modifications. This window allows small adjustments to existing content, layout, colours, or wording. The free modification period expires after 10 calendar days from handover date. Adding new pages, new functionality, or new integrations is not included in this period. Requests outside this scope will be billed as standard modification tickets. 4. CLIENT RESPONSIBILITIES The Client is responsible for providing accurate content, images, and requirements. Delays caused by late content submission may extend delivery timelines. The Client must maintain accurate contact information on their profile. 5. INTELLECTUAL PROPERTY Upon full payment, the Client owns the website and its content. Tswalenki retains the right to display completed work in its portfolio unless requested otherwise. 6. PRIVACY & DATA PROTECTION Client data is stored securely and will not be shared with third parties without consent. This agreement complies with the Protection of Personal Information Act (POPIA) of South Africa. 7. DISPUTE RESOLUTION Any disputes shall first be attempted to be resolved through mutual discussion. This agreement shall be governed by the laws of the Republic of South Africa. 8. LIMITATION OF LIABILITY Tswalenki shall not be liable for downtime caused by third-party hosting providers. The Service Provider's liability is limited to the amount paid for the specific service. 9. TERMINATION Either party may terminate this agreement with 30 days' written notice. Outstanding payments remain due upon termination. 10. ACCEPTANCE By clicking 'I Accept' on the Tswalenki WMS platform, the Client confirms they have read, understood, and agreed to these terms.
